Mayor Lowry called the meeting to order at 4:30 p.m.

    THAT Council enter into an in camera session as per a trade secret or scientific, technical, commercial, financial or labour relations information, supplied in confidence to the municipality or local board, which, if disclosed, could reasonably be expected to prejudice significantly the competitive position or interfere significantly with the contractual or other negotiations of a person, group of persons, or organization (Municipal Act s.239(2)(i));  and a position, plan, procedure, criteria or instruction to be applied to any negotiations carried on or to be carried on by or on behalf of the municipality or local board (Municipal Act s.239(2)(k)) and personal matters about an identifiable individual, including municipal or local board employees (Municipal Act s.239(2)(a)).

    WHEREAS Mississippi River Power Corporation (“MRPC”) is in the process of transitioning to the requirements of its recently approved By-Law and USD; and

    WHEREAS The Board of MRPC has developed a succession plan for Directors to ensure a smooth transition; and

    WHEREAS the Corporation of the Municipality of Mississippi Mills (”CMMM”) as sole Shareholder of MRPC desires to endorse the Board’s plan in order to protect CMMM’s investment;

    THEREFORE be it resolved that:

    1. The terms of Directors Adrian Foster and Lyman Gardiner are hereby extended to end at the close of the Annual General Meeting of Shareholders (“AGM”) of MRPC that is to be held in the spring of 2024; and
    2. That MRPC is hereby authorized to increase the Board to six (6) directors for the period starting at the close of the AGM to be held in the spring of 2023 to the close of the AGM to be held in the spring of 2024; and
    3. That the Board of MRPC and the Council of the CMMM, in accordance with the By-Law of MRPC, are authorized to strike a selection committee to recruit a 6th Director specifically with the necessary financial knowledge and expertise to become the Treasurer of MRPC after suitable orientation.

Mayor Lowry recognized Mississippi Mills employee Ben Kipp for his success at the Lanark Roadeo and moving on to the provincial competition.

Municipal Planner, Jeffrey Ren, provided a background report on the proposed Zoning By-law amendment. The Chair then invited members of the public to speak, the following individuals spoke:

  • Chris Clarke - agent for the applicant, proposed cottage will not be moved any closer to the water only change is to the lot coverage

The Clerk provided an overview of the formal complaint process, the Integrity Commissioner, and the process. Tony Fleming, the municipality's Integrity Commissioner, provided an overview of the investigation, including the Covid vaccination policy that required members of Council be vaccinated and advise the CAO of their vaccination status, breach of the policy and breach of the Code of Conduct, and the final recommendation to suspend Councillor Guerard's pay for 90 days. Section 5 (2.1) (1) of the Municipal Conflict of Interest Act, states that the Member  may take part in the discussion of the matter, including making submissions to Council and may attempt to influence the voting on any question in respect to the matter. However the Member is not permitted to vote on any question in respect of the matter. Councillor Guerard provided a submission in writing to all members of Council in regards to the recommended suspension of remuneration.

    THAT Council receive the report from the Municipal Integrity Commissioner as information;

    AND WHEREAS as required in section 223.6(3) of the Municipal Act all reports from the Integrity Commissioner shall be made public;

    THEREFORE BE IT RESOLVED THAT Council direct staff to publish the final report on the Municipal website.

    THAT, having breached section 11(c) and 30(a) of the Code of Conduct for Members of Council, Committees and Local Boards, that Councillor Guerard's pay be suspended for the maximum period of ninety (90) days as per the recommendation in the Integrity Commissioner's report.

    Councillor Guerard requested a recorded vote. However, as per the Municipal Act and Municipal Conflict of Interest Act she is not permitted to vote therefore unable to request that the vote be recorded since she would not be considered "present" for the vote.
